First off get rid off one third party firewall, then it sounds like you need to get control of your running processes, first turn off anything that auto-updates.....these updates can be done...

nihil, I did get rid of the wuauclt.exe and everything works fine. I guess I will be waiting for sp2 on disc because I refuse to allow for auto update.
