Win32 Kernel Core component
I seem to have this running in the background, and it's tried to access the net a few times, also I have tried to look up on this on the net, but I havent found anything worthwhile.
Any information would be appreciated. Thanks.

Try a packet sniffer see what info it is attempting to send. Then again M$ puts so many hooks into their stuff I am sure they do not use or sell the information for now it is there to make your computing better. Try looking at Media player also this thing is built into XP sends your play list to MS.
