Actually to let you in on a secret, most companies I know of use hacked copies. Oh don't get me wrong, they have a license for every copy they have, they just install/use hacked copies because it makes it easier inside of a big mainframe structure. So, no I don't think Microsoft really cares about what CD you are using, whether it is downloaded from Kazaa or somewhere, as long as the key is a legit key bought from a store.
The reason I say this, is because Microsoft has been a problem for me trying to get CD's replaced. I've gotten them, it just takes forever and a day. Plus you have to pay for a CD and shipping. Sure it's not $200 like it is to go buy a new copy, but it's a hassel. I agree that you should just go find yourself an ISO online somewhere and just use your key off your CD. That would make it easier, and you wouldn't have to worry about not getting any updates or anything.
